1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and [Company Legal Name]("MustardPrint", "we", "us", "our"), a company registered in Nigeria under RC [Registration Number], operating the website and marketplace at mustardprint.com.ng (the "Platform").

By creating an account, browsing the Platform, placing an order, or listing as a vendor or professional, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Platform.

2. Eligibility & Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or place an order on the Platform. By registering, you represent that you meet this requirement.

You may register using an email address, a Nigerian phone number verified by a one-time code, or a Google account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at [support email] if you suspect unauthorized access.

You agree to provide accurate, current information when creating or updating your account. We may suspend or terminate accounts that provide false information, or that we reasonably believe are engaged in fraud, abuse, or activity that harms other users or the Platform.

3. Our Role as a Marketplace

MustardPrint is a marketplace that connects buyers with independent print vendors (printing presses and material suppliers) and independent printing professionals. We do not manufacture, print, warehouse, or ship any product ourselves.

Each vendor and professional is solely responsible for the accuracy of their own listings, the quality and lawfulness of the goods and services they offer, and their own compliance with applicable tax, licensing, and consumer protection obligations, including the Federal Competition and Consumer Protection Act, 2018. MustardPrint is not a party to the contract of sale formed between a buyer and a vendor or professional, and is not liable for a vendor's or professional's acts or omissions, except as required by applicable law.

Vendors that pass our verification review receive a verification badge. Verification confirms that a vendor completed our onboarding checks at a point in time — it is not a guarantee or endorsement of the quality of any specific order.

4. Listings & Pricing Accuracy

We make reasonable efforts to ensure product images, specifications, stock availability, and prices (displayed in Nigerian Naira, ₦) are accurate, but errors can occur, including due to vendor-supplied data, currency or cost changes, or technical issues.

We and our vendors reserve the right to correct pricing or listing errors, update catalog availability, or decline/cancel an order affected by such an error at any time before a sale is finalized, including after checkout is initiated but before payment is confirmed with the vendor.

5. Orders & the WhatsApp Checkout Model

When you check out, we record your order (items, specifications, and quantities) on the Platform and generate a pre-filled message that opens a WhatsApp conversation with the relevant vendor or our order desk.

MustardPrint does not process, capture, or store payment card details, and does not act as the payment collection agent for vendor sales conducted this way. The sale is only finalized once the vendor confirms your specification, price, and logistics with you directly, typically over WhatsApp, and you complete payment through whatever method the vendor accepts (e.g., bank transfer). Any escrow, in-app payment, or checkout feature we introduce in the future will be governed by additional terms disclosed at the time it launches.

Because vendors confirm orders manually, an order recorded on the Platform is not automatically an accepted order — it becomes binding once the vendor confirms it.

6. Delivery, Logistics & Inspections

Delivery timelines, dispatch fees, and handover arrangements are coordinated directly between you and the vendor, based on your stated location. MustardPrint is not a courier or logistics provider and does not guarantee delivery timelines set by a vendor.

Inspect your order at the point of handover wherever possible. Report damaged, incorrect, or missing items to the vendor and, if unresolved, to us through the Report or Dispute tools in your account as soon as possible so we can help mediate a resolution.

7. Reviews & User Content

Buyers who complete an order may leave a review of the vendor, professional, or product. Reviews must reflect a genuine transaction and your honest opinion — fake, incentivized, or retaliatory reviews are prohibited and may be removed.

By submitting a review, photo, or other content to the Platform, you grant MustardPrint a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content on the Platform and in our marketing. You are solely responsible for the content you submit and confirm you have the right to share it.

8. Prohibited Conduct

You agree not to: use the Platform for unlawful purposes; upload content that infringes another party's intellectual property or is defamatory, obscene, or harassing; attempt to circumvent our security measures or access another user's account; scrape or harvest data from the Platform; misrepresent your identity or affiliation with a business; or use the Platform to facilitate transactions outside these Terms in a way intended to defraud MustardPrint or another user.

Violation of this section may result in content removal, order cancellation, account suspension or termination, and, where warranted, referral to law enforcement under applicable Nigerian law, including the Cybercrimes (Prohibition, Prevention, etc.) Act.

9. Intellectual Property

The MustardPrint name, logo, website design, and underlying software are owned by us or our licensors and protected by Nigerian and international intellectual property law. You may not copy, modify, or create derivative works from the Platform without our written permission.

Product designs, artwork, and templates uploaded by vendors, professionals, or buyers remain the property of the party who uploaded them, subject to the license granted in Section 7 above for content shared on the Platform.

10. Disclaimers & Limitation of Liability

The Platform is provided "as is" and "as available." We do not guarantee that the Platform will be uninterrupted, error-free, or completely secure, and we do not guarantee the quality, safety, or legality of goods or services offered by vendors or professionals.

To the fullest extent permitted by Nigerian law, MustardPrint's total liability to you for any claim arising from your use of the Platform is limited to the greater of ₦50,000 or the total fees you have paid to MustardPrint directly (not to a vendor) in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot lawfully be limited, such as liability for fraud or willful misconduct.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. If a dispute cannot be resolved informally through our support channels or the in-app dispute process, either party may refer it to a Nigerian court of competent jurisdiction sitting in [State, e.g. Lagos State], or, where both parties agree, to arbitration under the Arbitration and Mediation Act 2023.

These Terms do not affect any statutory rights you have as a consumer under the Federal Competition and Consumer Protection Act, 2018, which cannot be waived.

12. Changes to These Terms & Contact

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you by email or an in-app notice. Continued use of the Platform after changes take effect means you accept the revised Terms.
